IT & Services acquisitions saved from disaster

A group of Direct Investment Funds faced significant losses when a series of IT and services acquisitions in South East Asia and Greater China foundered.

Local managers were operating beyond their capabilities. Staff felt threatened by the changes. The client needed an external group to work alongside its management team to ensure all integration problems were resolved and acquisition targets achieved.

Salzer Consulting operated in a Project Management capability for 100 days. During this time the company was returned to operational profitability. The separate companies were fully absorbed into one cohesive organisation under the direct and transparent control of a unified management team

Local managers were reasonably skilled, but inexperienced at managing post-acquisition integration.

An operating committee was set up, reporting to the CEO. This group was trained and empowered to oversee the integration following processes prescribed by Salzer Consulting.

Areas addressed included:

  • New organisational structure
  • Re-allocation of positions
  • Compensation and incentive system
  • New business planning process
  • New board reporting, with transparency embraced at all levels
  • Agreed KPIs to middle manager level
  • Re-energised and re-trained sales force
  • Introduction of strategic marketing initiatives

The company’s processes were compromised by inadequate differentiation between systems. Systems from acquired groups were operating simultaneously with systems from the acquiring group. The result was an overlay of conflicting processes, creating significant confusion.

The Salzer Consulting project team stripped out most of the conflicting systems. A new system was then built and implemented to international standards through the operating committee.
